ACCEPTANCE
This Agreement (“Agreement”) is a legal and binding agreement between users (“you”) and CoolwareMax (“we”, “us” “our”) regarding the use of Face Off Max Website (“Website”) and Face Off Max Software (“Software”). Please read these terms carefully before you visit the Website and install the Software. If you do not agree to any of these terms, please stop visiting the Website or installing the Software. Your continue using of the Website and Software indicate that you have read, understood and agreed to all these terms. MONITORING

CoolwareMax shall not be responsible to users or others for any such interruptions, errors or problems or an outright discontinuance.

Users acknowledge and agree that all Content available on the Website and in the Software is protected by copyright, trademark, patent, trade secret, and other proprietary rights and laws. * any use that CoolwareMax expressly authorizes in writing.
E. You agree not to use or launch any automated system, including without limitation, "robots," "spiders," or "offline readers," that accesses the Website in a manner that sends more request messages to the Face Off Max servers in a given period of time than a human can reasonably produce in the same period by using a conventional on-line web browser. CoolwareMax grants the operators of public search engines permission to use spiders to copy materials from the Website for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials, but not caches or archives of such materials. CoolwareMax reserves the right to revoke these exceptions either generally or in specific cases.
F. You agree not to collect or harvest any personally identifiable information, including account names, from the Website, nor to use the communication systems provided by the Website for any commercial solicitation purposes. You agree not to solicit, for commercial purposes, any users of the Website with respect to their User Submissions.
G. You agree not to interfere with or damage any of the Face Off Max Websites, including without limitation, through the use of viruses, cancel bots, Trojan horses, harmful code, flood pings, denial of service attacks, packet or IP spoofing, forged routing or electronic mail address information or similar methods or technology.

USE OF THE CONTENT OF THE WEBSITE
In addition to the general restrictions above, the following restrictions and conditions apply specifically to your use of Content on the Website.

All the Content on Face Off Max Website, except all User Submissions (defined below) is owned by or licensed to CoolwareMax, subject to copyright and other intellectual property rights under the law. USER SUBMISSION
A. As a Face Off Max user, you may submit pictures and text collectively referred to as “User Submissions”. You understand that whether such User Submissions are published, CoolwareMax does not guarantee any confidentiality with regard to any User Submissions.
B. You shall be solely responsible for your own User Submissions and the consequences of posting or publishing them. In connection with User Submissions, you affirm, represent, and/or warrant that: you own or have the necessary licenses, rights, consents, and permissions to use and authorize CoolwareMax to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all User Submissions to enable inclusion and use of the User Submissions in the manner contemplated by the Website and these Terms of Service.
C. For clarity, you retain all of your ownership rights in your User Submissions. However, by submitting User Submissions to Face Off Max, you hereby grant CoolwareMax a worldwide, non-exclusive, royalty-free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Submissions in connection with the Face Off Max Website and CoolwareMax's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Website (and derivative works thereof) in any media formats and through any media channels. You also hereby grant each user of the Website a non-exclusive license to access your User Submissions through the Website, and to use, reproduce, distribute, display and perform such User Submissions as permitted through the functionality of the Website and under these Terms of Use.

CoolwareMax does not permit copyright infringing activities and infringement of intellectual property rights on its Website, and CoolwareMax will remove all Face Off Max Content and User Submissions if properly notified that such Face Off Max Content or User Submission infringes on another's intellectual property rights.

THIRD PARTY
The Software and the Website may contain Content from third parties ("Third Party Content"), either via the CoolwareMax Services or through links to third party websites. CoolwareMax does not control Third Party Content and makes no representations or warranties about it. Users understand that by using the Service, he/she may be exposed to Third Party Content that is false, offensive, indecent or otherwise objectionable. TERMINATION
You agree that CoolwareMax, in its sole discretion, may terminate your access to the Website and Software for any reason, including without limitation, if CoolwareMax believes that you have violated or acted inconsistently with the Agreement. You agree that any termination of your access to the Website and Software under any provision of this Agreement may be effected without prior notice.

SEVERABILITY AND INTEGRATION

ASSIGNMENT
